This Agreement sets out the terms of use of provided services by legal entity HilBots, doing business as hilbots.com Site. Using the services of hilbots.com Site means full acceptance of the User to this Agreement. In case of disagreement with the Agreement, User shall not perform any actions.

You acknowledge and agree that the form and nature of the Service or any features within the Service may change from time to time without prior notice to you.

You acknowledge and agree that we may stop permanently or temporarily providing the Serviceor any features within the Service to you or to users generally, at our sole discretion, without prior notice to you. You may stop using the Service at any time in accordance with the terms of these Terms of Use.

Accounts

To use certain features on the Site, you must register for an Account and complete a profile. An "Account Holder" can be any natural person who enters into an agreement with HilBots under these Terms of Use. The Terms of Use and other stipulations it refers to relate to all rights and obligations arising from the use of this Site and the Services. Each natural person wishing to register as an Account Holder is advised to read these Terms of Use carefully and understand them before final acceptance. By Creating an Account to use HilBots Services, Account Holders represent and warrant:

they have accepted these Terms of Use; and they are at least eighteen (18) years of age,

and have the full capacity to accept these Terms of Use and enter into a relationship with HilBots.

You are solely responsible for ensuring that the use of the Service in accordance with these Terms of Use in your jurisdiction of residence is permitted by law or regulation. If such use is not permitted by law, we prohibit all access to and use of the Site.

As part of the registration process, you will be required to provide us with certain information, such as your email address, your name a password, the API and the secret API of your account on your exchange to connect it to our bot(s). For more information about the information that we collect, please see our Privacy Policy. You agree that you will provide accurate, current and complete information about yourself and promptly update all information in your Account to ensure that your Account is accurate, current and complete. You may update or change your Account settings at any time. You are not permitted to provide any unauthorized person with access to your Account.

Account confidentiality

Any username, password, or any other piece of information chosen by you or provided to you as part of our security procedures, must be treated as confidential, and you must not disclose it to any other person or entity. You must exercise caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. You understand and agree that, should you be provided an Account, your Account is personal to you and you agree not to provide any other person with access to the Account or portions of it using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you logout from your Account at the end of each session. You are responsible for any password misuse or any unauthorized access.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, or in connection with the unauthorized use of your Account arising from a failure on your part to maintain the confidentiality of your password.

You have the right to close your Account at any time once all obligations associated with the Account have been completed.

Account holder representations and warranties

By registering an Account, the Account Holders expressly represents and warrants that they:

has accepted these Terms of Use;

follow the rules and laws in their country of residence and/or country from which they access this Site and Services and that they have verified that their use of the Services does not violate any such laws or regulations of any jurisdiction that applies to them;

is responsible that his/her use of the Service is subject to all applicable local, provincial and federal laws and regulations;

is at least 18 years old and has the right to accept these Terms of Use and participate in transactions involving Cryptocurrencies and is of sound mind capable of taking responsibility for their own actions;

agree to provide HilBots with accurate, current and complete information as prompted by the create Account process and that you will update our records from time to time when the information submitted is out of date or no longer accurate;

are responsible for maintaining the confidentiality of their Account information and for all activities that occur under their Account;

is not a politically exposed person and does not have a relationship (e.g. relative, associate, etc.) with a politically exposed person.

will only use the Service to perform Transactions in accordance with the conditions set forth in these Terms and conditions.

You acknowledge and agree that you will not use HilBots platform to create a false profile; access to content and data that are not intended for you; attempt to interfere, interrupt or disable the proper working of HilBots platform and/or it’s users; promote or engage in any unlawful or illegal activities; sell, distribute, copy, sub-license, loan, transfer, duplicate, reproduce, trade, resell, or otherwise monetize HilBots platform and/or it’s services, as well as its intellectual property and intellectual property of it’s users including trading strategies.

HILBOTS PROVIDES THE SERVICE. HILBOTS DOES NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL, TAX OR ANY OTHER PROFESSIONAL ADVICE. HILBOTS IS NOT A BROKER, FINANCIAL ADVISOR, INVESTMENT ADVISOR, PORTFOLIO MANAGER OR TAX ADVISOR. YOU ACKNOWLEDGE AND AGREE THAT HILBOTS IS NOT RESPONSIBLE FOR YOUR USE OF ANY INFORMATION THAT YOU OBTAIN ON THE SITE.

Client data

All Client data is, or will be, and shall remain the property of Client. Without Client’s approval (in its sole discretion), the Client data shall not (1) be used by HilBots other than in connection with providing the Services, (2) be disclosed, sold, assigned, leased or otherwise provided to third parties by HilBots or (3) be commercially exploited by or on behalf of HilBots. HilBots hereby irrevocably assigns, transfers and conveys to Client without further consideration all of its and their right, title and interest in and to the Client data.

Aggregated data

Client grants HilBots a non-exclusive, transferable, assignable, irrevocable, royalty-free, worldwide, perpetual license to make aggregated, anonymized and de-identified Aggregated data and to use such data, and every one modifications thereto and derivatives thereof, for any purpose, including, without limitation, to enhance the platform, conduct research, develop new products and services and understand usage and for predictive analytics and insights. HilBots shall own all Aggregated data and should transfer or assign any of its rights within the Aggregated data to any third party. HilBots warrants and represents that it's using methods and processes that are meant to make sure the irreversibility of the Aggregated data.

This Site and the Services found at this Site may contain links to third-party websites that are not owned or controlled by HilBots. HilBots assumes no responsibility for the content, terms and conditions, privacy policies or practices of any third-party websites. In addition, HilBots does not censor or edit the content of any third-party websites. The Trademarks and other content on the Site should not be copied, reproduced, modified, republished, uploaded, posted, transmitted, scraped, collected or distributed in any form or by any means, whether manual or automated. Account Holders represent and warrant that they are the legitimate owners and are allowed to use all Bitcoins (or any other cryptocurrencies) of the Transactions being carried out and do not infringe the rights of any third party or applicable laws. HilBots will not be held liable for any damages, loss of profit, loss of revenue, loss of business, loss of opportunity, loss of data, indirect or consequential loss. HilBots cannot be held liable for any malfunction, breakdown, delay or interruption to the Internet connection, or if for any reason our Services are unavailable at any time or for any period.

HilBots, its respective directors, officers and agents expressly disclaim all other representations, endorsements, warranties, and conditions, express or implied, including, without limitation, any representation, warranty or condition of merchantability, title, or non-infringement, completeness, security, reliability, suitability, accuracy, currency or availability, error-free, uninterrupted, that defects will be corrected, that our service or the server that makes it available are free of viruses or other harmful components or any warranty arising from a course of dealing, performance, or trade usage.

Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless HilBots, its affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms of Use or your use of the Software, including, but not limited to, your submissions, Third Party Platforms, any use of the Content, services, and products other than as expressly authorized in these Terms of Use.

Refund policy

1. User may request a refund within the 7 calendar days after purchasing any plan. User must submit a ticket to the support team and provide evidence that the service is not working to the standard of the platform.

2. A partial refund to any user who has been using the service for less than 7 calendar days will be calculated based on the number of full days that are remaining on the purchased plan. In the case where a discount has been applied, the amount deduction for the used subscription plan time will be calculated at the non-discounted rate.

3. The refund will be paid within the 30 calendar days and the sending commission if there is one will be deducted from the refundable amount.

Termination and cancellation

You agree that HilBots may, in its sole discretion terminate your access to the Site and to your Account, to the Contents, APIs, features, functionality, products and services made available in connection therewith, including without limitation, our right to: limit, suspend or terminate the Services and close Accounts, prohibit access to the Site and its content, Services and tools, delay or remove hosted content, and take technical and legal steps to keep Account Holders off the Site if we think that they are creating problems or possible legal liabilities, infringing the intellectual property rights of third parties, or acting inconsistently with the letter or spirit of these Terms of Use. Additionally, we may, in appropriate circumstances and at our discretion, suspend or terminate Accounts for any reason, including without limitation: (1) attempts to gain unauthorized access to the Site or another Account Holder’s Account or providing assistance to others attempting to do so, (2) overcoming software security features limiting use of or protecting any content, (3) usage of the Services to perform illegal activities such as money laundering, illegal gambling operations, financing terrorism, or other criminal activities, (4) violations of these Terms of Use, (5) unexpected operational difficulties, or (6) upon the request of law enforcement or other government agencies, if deemed to be legitimate and compelling by HilBots, acting in its sole discretion.

We also reserve the right to cancel unconfirmed Accounts or Accounts that have been inactive for a period of 6 months or more, and/or to modify or discontinue our Site or Services. Account Holders agree that HilBots will not be liable to them or to any third party for termination of their Account or access to the Site.

If you want to terminate your Client Account, you may do so by closing your Client Account, where we have made this option available to you. Your Client Account will be closed within thirty (30) days provided that: any disputes in which you have been involved have been satisfactorily resolved; and you have completed any other obligation(s) associated with your use of the Software.
